Thank you for partnering with Nestwraps. Please read these terms carefully. By accepting a jute rug from us and creating content, you agree to the following.
1. Definitions

Nestwraps means Greenbay Limited trading as Nestwraps (nestwraps.co.nz).

Influencer means the person or entity receiving a jute rug and providing content under these terms.

Product means the jute rug we send you for the campaign.

Content means the three 15‑second videos you create and deliver.

Campaign means this arrangement under which you receive a Product and grant us rights to your Content.
2. Deliverables

You agree to create and deliver three separate videos, each between 13 and 15 seconds.

You have two weeks from the date you receive the Product to send us the final videos.
3. Ownership and License
-
You assign to Nestwraps all rights, title and interest in and to the Content, worldwide, perpetual, royalty‑free and exclusive.

Nestwraps may use, edit (including cropping, color correction, subtitling and remixing) and repurpose the Content in any format or on any platform we choose without further approval or compensation.
4. Quality Standards and Revision

Content must meet professional video standards (good lighting, clear sound and stable framing).

If we find the Content does not meet these standards, we may request revisions. You agree to complete one round of feedback within one week of our request.
5. Compensation and Shipping

We cover all shipping costs for the Product.

No additional cash payment or bonus is included unless we agree in writing before sending the Product.
6. Disclosure and Compliance

You must clearly disclose in each post that the Product was gifted by Nestwraps (for example, using #gifted) in accordance with New Zealand advertising standards.

You warrant that all claims you make are accurate. If we provide messaging points (for example, “Nestwraps has been in Auckland for over 10 years”), you agree to include them as discussed before shipment.
7. Product Condition and Replacement

If the Product arrives damaged, notify us within 48 hours of delivery. We will arrange a replacement at no cost to you.
8. Warranties and Indemnities

You warrant that the Content is your original work, does not infringe any intellectual property or other rights, and contains no unlawful, defamatory or obscene material.

You agree to indemnify and hold harmless Nestwraps against any losses, damages or claims arising from your breach of these warranties.
9. Moral Clause

Nestwraps may stop using your Content if you engage in any conduct that could harm our brand reputation.
10. Limitation of Liability

To the maximum extent permitted by law, Nestwraps’ total liability under this agreement is limited to the retail value of the Product provided.
11. Term and Termination
-
This agreement is effective when you receive the Product and continues until you have delivered acceptable Content and we have received it.

If you fail to deliver Content within two weeks, or if you do not address revision requests, Nestwraps may terminate this agreement and require you to return the Product at your expense.
12. Governing Law
-
These terms are governed by the laws of New Zealand. Any dispute must be brought in a New Zealand court.
